1. Introduction
These Terms of Use (hereinafter referred to as "Terms") govern your access to and use of the SmartChatSuite application (the "App") and all related services, including our AI-powered customer support platform, APIs, and websites (collectively, the "Services"). The Services are owned and operated by SmartChatSuite LIMITED LIABILITY COMPANY (hereinafter referred to as "SmartChatSuite", "Company", "we", "us", or "our").
These Terms apply to all users of the Services ("user(s)", "you", "your"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. These Terms supersede all prior notices or agreements concerning the Services.
Binding Legal Agreement
This is a legal agreement between you and the Company. If you do not agree to these Terms, you must not register for or use the Services. If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms.
2. Use of the Services
You agree to use the App and our Services only for lawful purposes that are permitted by these Terms and any applicable laws, regulations, or generally accepted practices in the relevant jurisdictions. Subject to your compliance with these Terms, the Company grants you a limited, terminable, non-transferable, personal, and non-exclusive license to access and use the App and our Services.
You may not distribute, modify, broadcast, publicly perform, transmit, reuse, repost, or otherwise use any contents of the App, including text, images, or software, for public or commercial purposes without the Company's prior written permission.
3. Eligible Users
The Services are not intended for individuals under the age of 18. If you are under 18, you may not use the Services. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding contract.
Furthermore, use of the Services requires integration with third-party social media accounts (e.g., Facebook, TikTok). You must meet the eligibility requirements of those respective platforms to use our Services.
4. Description of Services
SmartChatSuite provides an AI-powered customer support platform designed to help businesses manage and automate interactions on social media channels. Key features include:
- An intelligent AI chatbot powered by Large Language Models (LLMs) to understand and respond to customer inquiries.
- Integration with various social media platforms to centralize customer communication.
- Smart routing systems to escalate complex conversations to human agents.
- Analytics and reporting tools to monitor performance and customer satisfaction.
The specific features and functionalities available to you will depend on your selected subscription plan.
5. Registration and Account
To use the Services, you must register and create an account (the "Account"). You agree to provide accurate, current, and complete information during the registration process. You are solely responsible for safeguarding your account credentials and for all activities that occur under your Account. You must notify us immediately of any unauthorized use of your Account.
6. Suspension and Termination
The Company may limit, suspend, or terminate your access to the Services if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, or otherwise pose a risk to the integrity of our platform or other users. We reserve the right to change, suspend, or cancel all or any part of the Services at any time, without prior notice.
7. Intellectual Property
The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
8. User Conduct
You agree not to engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services). This includes, but is not limited to, attempting to reverse-engineer the platform, introducing malware, or using the service to send spam or engage in illegal activities. You must comply with the terms of service of any third-party platform you connect to SmartChatSuite.
9. Disclaimer and Limitation of Liability
You agree that your use of the Services shall be at your sole risk. To the maximum extent permitted by applicable law, the Company disclaims any and all guarantees, warranties and representations, whether express or implied, in connection with the Services and your use thereof.
To the maximum extent permitted by applicable law, the Company, its affiliates, and their respective officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.
10. Tax
You are responsible for any and all tax liability arising from or associated with your use of the Services, including any taxes associated with your subscription fees. All fees for the Services are exclusive of any applicable taxes.
11. Privacy
We process your personal data and the data of your customers in accordance with our Privacy Policy. You acknowledge that you have read our Privacy Policy and understand that it sets forth how we collect, use, and share your information. It is your responsibility to ensure you have the necessary consents from your customers to process their data via our Services.
12. Notification of Changes
The Company may revise these Terms from time to time. We will provide notice of any material changes by posting the new Terms on our website or by sending you an email. Your continued use of the Services after the changes have been implemented constitutes your acceptance of the changes. If you do not agree to the changes, you must stop using the Services.
13. Dispute Settlement
The laws of Vietnam shall govern these Terms and any claims or disputes arising out of or relating to them. If either party chooses to initiate legal proceedings, both parties consent to the exclusive jurisdiction of the courts of Vietnam.
14. Miscellaneous
These Terms, together with the Privacy Policy and any other legal notices published by us on the Services, shall constitute the entire agreement between you and the Company concerning the Services. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
